Carlos Colón-Machargo is a fully bilingual (English-Spanish) attorney-at-law and Certified Public Accountant (CPA) with over twenty years of experience. Provides legal advice to startups on raising capital including capitalization matters, conversion securities, investment instruments and compliance with federal and state securities’ registration and disclosure requirements.

Provides tax advice to clients concerning the optimal structure to operate the business, tax jurisdictional matters and general tax issues.

Counsels clients on compliance with industry-specific rules and regulations.

Advises clients on all aspects of employment law, including employment discrimination, wage and hours, unemployment, workers’ compensation and compliance with related statutes and drafts employee handbooks, policy and procedures.

Negotiates and drafts legal contracts and documents used in the labor and employment setting including: employment agreements; temporary employment agreements; probationary employment agreements; restrictive covenants including, covenants not-to-compete, non-solicitation agreements, non-disparagement agreements, and non-disclosure and confidentiality agreements; assignment of intellectual property; general release and termination agreements; separation and severance agreements; equity compensation agreements; bonus agreements and incentive plans.

Renders advice and drafts legal documents for clients' estate planning, including the creation of trusts and the draft of wills, living wills, powers of attorney and other legal documents.
